Affiliate Program Terms of Service

These Affiliate Program Terms of Service (“Affiliate Terms”) govern participation in the ApexGuard affiliate program (the “Program”) operated by:

In these Affiliate Terms, “ApexGuard,” “we,” “us,” or “our” means TMN Société Anonyme. “Affiliate,” “you,” or “your” means the individual or legal entity applying to or participating in the Program.

By applying to, joining, or participating in the Program, you agree to be bound by these Affiliate Terms. If you do not agree, you must not participate in the Program.

1. Purpose of the Program

The Program allows approved affiliates to promote ApexGuard products and services using approved tracking links, referral codes, campaign assets, landing pages, and other promotional materials provided or authorized by ApexGuard (“Affiliate Materials”).

If an eligible customer completes a qualifying purchase through your approved affiliate tracking method, you may become eligible to receive a commission in accordance with these Affiliate Terms and any applicable commission schedule, dashboard settings, or written commercial arrangement issued by ApexGuard.

2. Nature of Relationship

Your participation in the Program does not create any employment, agency, franchise, joint venture, fiduciary, partnership, or exclusive relationship between you and ApexGuard.

You act as an independent contractor.

You have no authority to:

  • bind ApexGuard;
  • make promises or representations on ApexGuard’s behalf;
  • enter into contracts on ApexGuard’s behalf;
  • collect payments on ApexGuard’s behalf unless expressly authorized in writing; or
  • present yourself as an employee, legal representative, or agent of ApexGuard.

3. Eligibility

To participate in the Program, you represent and warrant that:

  • you are at least eighteen (18) years old or otherwise legally capable of entering into a binding agreement;
  • you have full right, power, and authority to accept these Affiliate Terms;
  • your participation in the Program is lawful in the jurisdictions relevant to you;
  • all information you submit to ApexGuard is accurate, current, and complete; and
  • you are not subject to sanctions, trade restrictions, or legal prohibitions that would make participation unlawful.

ApexGuard may approve or reject any application at its discretion.

4. Enrollment and Acceptance

To join the Program, you may be required to complete an application, provide identity or business information, submit promotional channel details, and accept these Affiliate Terms electronically.

Your participation is not effective until ApexGuard approves your application.

ApexGuard may request additional information at any time to verify your identity, ownership of promotional properties, traffic sources, payment details, tax status, or compliance profile.

5. Affiliate Account

You may be required to create and maintain an affiliate account or partner dashboard account.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • restricting access to your affiliate account;
  • keeping account, payout, and tax details accurate and up to date; and
  • all activity conducted through your account, except to the extent caused by ApexGuard’s breach of duty.

You must notify ApexGuard promptly if you suspect unauthorized access or misuse.

6. Approved Promotional Channels

You may promote ApexGuard only through promotional channels that have been disclosed to and, where required, approved by ApexGuard.

These may include:

  • websites;
  • blogs;
  • comparison sites;
  • newsletters;
  • content platforms;
  • social media accounts;
  • video channels;
  • review platforms; and
  • paid media sources expressly approved by ApexGuard.

You must not use undisclosed, deceptive, or prohibited traffic sources.

ApexGuard may require you to remove, suspend, or modify any promotional activity at any time.

7. Affiliate Links, Codes, and Attribution

ApexGuard may provide you with affiliate links, referral codes, tracking IDs, creatives, landing pages, and other attribution mechanisms.

You may use only the tracking methods issued or approved by ApexGuard.

A commission is payable only where ApexGuard is able to attribute a qualifying transaction to your approved tracking method in its records.

ApexGuard’s tracking, attribution, anti-fraud, billing, and refund records shall control in the event of discrepancies, subject to correction of clear technical error.

ApexGuard does not guarantee uninterrupted tracking and is not liable for technical failures outside its reasonable control, including browser restrictions, ad blockers, cookie deletion, device settings, attribution conflicts, or third-party system failures.

8. Commission Eligibility

You are eligible for commission only on “Qualifying Purchases” as defined by ApexGuard from time to time.

Unless otherwise stated in writing, a Qualifying Purchase generally means a completed, paid, non-fraudulent, non-refunded, non-reversed, non-chargeback subscription purchase made by a new customer through your approved affiliate tracking method and accepted by ApexGuard.

A transaction does not become commission-approved immediately upon purchase. Commission eligibility remains conditional until the applicable validation period has expired and ApexGuard has confirmed that the transaction remains valid, paid, and not subject to refund, reversal, cancellation, chargeback, fraud review, or compliance disqualification.

ApexGuard may exclude from commission eligibility any transaction that is:

  • self-referred;
  • duplicate;
  • fraudulent;
  • refunded or partially refunded;
  • reversed;
  • unpaid;
  • canceled during the customer refund eligibility period;
  • subject to chargeback or payment dispute;
  • generated through prohibited promotional conduct;
  • generated through unauthorized brand bidding or trademark abuse;
  • generated through coupon, cashback, incentive, toolbar, extension, or adware activity not approved by ApexGuard; or
  • otherwise non-compliant with these Affiliate Terms.

9. Commission Rates, Validation, and Payment Terms

Commission rates, payout thresholds, holding periods, payment frequency, and eligible products may be set out in:

  • the affiliate dashboard;
  • a commission schedule;
  • a written commercial addendum; or
  • another written notice from ApexGuard.

Unless otherwise stated in writing, the following rules apply:

9.1 Validation Upon Successful Payment

A commission may only arise where ApexGuard has successfully received payment from the customer for the relevant Qualifying Purchase.

No commission is earned on failed, declined, pending, disputed, unauthorized, or reversed payments.

9.2 Thirty (30) Day Validation Hold

All tracked conversions are subject to a thirty (30) day validation hold beginning on the date the customer’s payment is successfully captured.

This 30-day hold exists to align commission validation with ApexGuard’s customer refund eligibility period and fraud-control review process.

During this validation hold, the transaction will be treated as pending and no commission shall be deemed earned, approved, payable, vested, or due.

9.3 Refund Eligibility Alignment

A commission becomes eligible for approval only after the relevant customer refund eligibility period has expired without:

  • a refund request being granted;
  • a cancellation resulting in refund;
  • a payment reversal;
  • a chargeback;
  • a fraud flag;
  • a compliance violation; or
  • any other event that makes the transaction non-qualifying.

If ApexGuard offers a 30-day money-back guarantee or similar refund window for the relevant purchase, commission approval shall not occur before the end of that 30-day period.

9.4 Approved Commissions Only

A commission is payable only once it has been marked by ApexGuard as approved in its system.

Pending, estimated, tracked, provisional, or forecast amounts shown in the affiliate dashboard are for reporting purposes only and do not create a payment obligation unless and until ApexGuard approves them.

9.5 Payout Timing

Approved commissions may be paid in the next scheduled payout cycle, provided that:

  • the minimum payout threshold has been met;
  • valid payout details and any requested tax information have been provided;
  • no compliance or fraud review is ongoing; and
  • no deduction, offset, reserve, withholding, reversal, or clawback applies under these Affiliate Terms.

ApexGuard may reasonably delay payout where necessary to investigate suspicious activity, reconcile disputed transactions, verify tax or identity details, or protect against financial loss.

10. Taxes and Invoicing

You are solely responsible for your own taxes, reporting obligations, social charges, withholding issues, banking fees, and legal compliance arising from commissions paid to you, unless mandatory law requires otherwise.

Where required by ApexGuard or applicable law, you must provide valid invoicing, tax, business, VAT, or similar information before payment is made.

ApexGuard may withhold payments pending verification of identity, tax status, sanctions checks, or legal compliance requirements.

11. ApexGuard Brand and Marketing Materials

ApexGuard grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right during your approved participation in the Program to use the Affiliate Materials solely for the purpose of promoting ApexGuard in accordance with these Affiliate Terms.

You must:

  • use only current and approved marketing materials where required;
  • comply with ApexGuard brand guidelines and instructions;
  • present ApexGuard accurately and fairly;
  • avoid misleading, false, unsubstantiated, or exaggerated claims; and
  • promptly remove materials if ApexGuard requests it.

All goodwill arising from use of ApexGuard names, marks, and branding belongs exclusively to ApexGuard.

12. Prohibited Promotional Conduct

You must not, directly or indirectly:

  • make false, misleading, incomplete, or deceptive statements about ApexGuard or its services;
  • represent that you are ApexGuard, an official ApexGuard site, or an authorized ApexGuard employee;
  • use deceptive domains, social handles, pages, or profiles that impersonate ApexGuard;
  • bid on ApexGuard brand terms, close misspellings, or confusingly similar keywords in paid search unless expressly authorized in writing;
  • use forced clicks, cookie stuffing, hidden iframes, auto-redirects, click injection, or other attribution manipulation;
  • use spam, unsolicited communications, unlawful robocalls, unlawful SMS marketing, or unlawful direct messaging;
  • use spyware, adware, malware, browser extensions, intrusive software, or unauthorized pop-ups or pop-unders;
  • use misleading review practices, fake testimonials, fake comparisons, or undisclosed sponsored endorsements;
  • offer unauthorized discounts, rebates, cashback, couponing, or incentives;
  • market through illegal, obscene, abusive, infringing, hateful, discriminatory, or otherwise harmful content;
  • target children or unlawfully process personal data;
  • infringe ApexGuard’s intellectual property or third-party rights; or
  • otherwise act in bad faith.

13. Compliance With Laws and Platform Rules

You must comply with all laws, regulations, platform rules, advertising standards, consumer protection requirements, privacy rules, and disclosure obligations applicable to your promotional activities.

This includes, where applicable:

  • marketing disclosure requirements for affiliate relationships;
  • anti-spam rules;
  • consumer protection and unfair competition rules;
  • privacy and cookie rules;
  • platform-specific advertising rules; and
  • rules governing comparative, testimonial, influencer, and paid advertising content.

You are solely responsible for the legality of your marketing methods.

14. Data Protection and Privacy

Where you process personal data in connection with the Program, you must do so lawfully and transparently.

You must not send ApexGuard personal data except where reasonably necessary for the Program and lawfully permitted.

If ApexGuard discloses personal data to you, or you process personal data on ApexGuard’s behalf, additional data protection terms may apply.

15. Confidentiality

Any non-public information disclosed by ApexGuard to you in connection with the Program, including commission terms, performance data, dashboard information, internal communications, commercial strategy, unpublished product information, and technical or compliance information, is confidential (“Confidential Information”).

You must:

  • keep Confidential Information strictly confidential;
  • use it only for the Program;
  • protect it with reasonable care; and
  • not disclose it to third parties except where legally required.

These confidentiality obligations survive termination.

16. Intellectual Property

ApexGuard and its licensors retain all rights, title, and interest in and to:

  • the Program;
  • the Services;
  • ApexGuard trademarks and branding;
  • websites, applications, software, creatives, copy, and documentation;
  • tracking systems and reporting tools; and
  • all related intellectual property rights.

Except for the limited rights expressly granted under these Affiliate Terms, no license or other right is granted to you.

You must not:

  • modify ApexGuard creative materials except as expressly allowed;
  • register domains, handles, trademarks, or business names incorporating ApexGuard marks or confusingly similar variations;
  • challenge ApexGuard’s ownership of its intellectual property; or
  • use ApexGuard intellectual property outside the scope of the Program.

17. Monitoring, Audit, and Compliance Review

ApexGuard may monitor your compliance with these Affiliate Terms, including by reviewing your websites, content, ads, keywords, channels, email flows, social media activity, and traffic sources.

You must provide reasonable cooperation and information requested by ApexGuard for compliance review.

ApexGuard may suspend commissions, place payments on hold, impose reserves, or require corrective action during an investigation.

18. Suspension and Termination

ApexGuard may suspend, restrict, or terminate your participation in the Program immediately or with notice if:

  • you breach these Affiliate Terms;
  • your promotional conduct creates legal, reputational, commercial, fraud, or compliance risk;
  • your application or account information is inaccurate or misleading;
  • you generate invalid, fraudulent, or low-quality traffic;
  • you violate applicable law or platform rules;
  • ApexGuard discontinues or restructures the Program; or
  • ApexGuard is required to act by law or competent authority.

You may terminate your participation at any time by written notice or by closing your affiliate account where that option is available.

Upon termination:

  • your right to use Affiliate Materials ends immediately;
  • you must cease representing yourself as an ApexGuard affiliate;
  • you must remove ApexGuard promotional materials if requested;
  • unpaid commissions may be forfeited in case of material breach, fraud, invalid traffic, or non-compliance; and
  • valid approved commissions accrued prior to termination may be paid in the ordinary course, subject to these Affiliate Terms.

Pending commissions that have not yet completed the applicable validation period, including the 30-day refund-alignment hold, may be canceled if the underlying transactions do not later satisfy all approval conditions.

19. Reversal, Chargebacks, Withholding, and Clawback

ApexGuard may reverse, withhold, offset, deduct, or reclaim commissions if:

  • the underlying transaction is refunded or partially refunded;
  • the customer exercises a refund right within the applicable refund eligibility period;
  • the payment is reversed, canceled, or not successfully settled;
  • the transaction becomes subject to a chargeback, retrieval request, payment dispute, or cardholder complaint;
  • the transaction is later determined to be invalid, duplicate, self-referred, or fraudulent;
  • the transaction breached these Affiliate Terms or applicable law; or
  • the commission was credited or paid in error.

19.1 Chargebacks

If a customer payment becomes subject to a chargeback or similar payment dispute, the corresponding commission shall be treated as invalid and may be immediately removed from pending or approved balances.

If the related commission has already been paid to you, ApexGuard may:

  • deduct the amount from future commissions;
  • place the relevant amount in reserve;
  • offset the amount against any sums otherwise payable to you; or
  • require repayment of the overpaid amount.

19.2 Net-of-Reversals Principle

Commissions are intended to be paid only on net valid revenue actually retained by ApexGuard. Accordingly, refunds, reversals, chargebacks, fraudulent transactions, and similar losses may be deducted from affiliate earnings.

19.3 Negative Balance

If reversals, refunds, chargebacks, or clawbacks exceed the commissions otherwise due to you, your affiliate account may show a negative balance. ApexGuard may carry that negative balance forward and offset it against future approved commissions until fully recovered.

19.4 Reserve Rights

Where ApexGuard reasonably believes an affiliate account presents elevated refund, fraud, or chargeback risk, ApexGuard may temporarily withhold payouts, impose a reserve, extend the validation period for affected transactions, or require additional verification before releasing funds.

20. No Exclusivity

Your participation in the Program is non-exclusive.

ApexGuard may work with other affiliates, partners, resellers, advertisers, platforms, or competing marketing channels at any time.

21. Disclaimers

To the fullest extent permitted by applicable law, the Program, affiliate portal, tracking tools, reporting systems, and Affiliate Materials are provided on an “as is” and “as available” basis.

ApexGuard does not warrant that:

  • the Program will be uninterrupted or error-free;
  • tracking will be perfectly accurate in all cases;
  • commissions will arise from any particular traffic volume or campaign;
  • the Program will remain available indefinitely; or
  • participation will generate any minimum income or commercial result.

22. Limitation of Liability

To the fullest extent permitted by applicable law, ApexGuard shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, business opportunity, expected commission, or data arising out of or in connection with the Program or these Affiliate Terms.

To the fullest extent permitted by applicable law, ApexGuard’s aggregate liability arising out of or relating to the Program or these Affiliate Terms shall not exceed the total commissions paid or payable to you by ApexGuard during the twelve (12) months immediately preceding the event giving rise to liability.

Nothing in these Affiliate Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by mandatory law.

23. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless ApexGuard, its affiliates, officers, employees, contractors, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

  • your breach of these Affiliate Terms;
  • your unlawful or misleading marketing conduct;
  • your infringement of third-party rights;
  • your breach of privacy, advertising, or consumer protection obligations; or
  • your fraud, negligence, or willful misconduct.

24. Official Requests and Swiss Legal Procedure

ApexGuard may disclose limited information relating to your participation in the Program where required by applicable law, binding court order, or enforceable request from a competent authority.

As a Swiss company, ApexGuard adopts a Swiss-law approach to official requests. Requests from Swiss authorities must follow the applicable Swiss legal basis and Swiss legal procedure. Requests from foreign authorities must, where required, be submitted through recognized legal channels under Swiss law, such as mutual legal assistance, letters rogatory, treaty mechanisms, or other valid cross-border procedures.

ApexGuard may review requests for jurisdiction, validity, scope, and proportionality, and may challenge, narrow, or reject requests that appear defective, overbroad, or inconsistent with applicable law.

25. Changes to the Program or These Affiliate Terms

ApexGuard may modify, suspend, or discontinue all or part of the Program at any time.

ApexGuard may also amend these Affiliate Terms from time to time for legal, operational, compliance, commercial, technical, or security reasons.

Material changes may be notified by reasonable means, including email, dashboard notice, or updated publication date. Continued participation in the Program after the effective date of updated Affiliate Terms constitutes acceptance of the updated version.

26. Governing Law and Jurisdiction

These Affiliate Terms shall be governed by the substantive laws of Switzerland, excluding conflict-of-law rules.

Subject to any mandatory jurisdiction rules that cannot be waived, the competent courts at the registered seat of TMN Société Anonyme shall have jurisdiction over disputes arising out of or in connection with these Affiliate Terms.

27. Miscellaneous

If any provision of these Affiliate Terms is held invalid or unenforceable, the remaining provisions shall remain in effect to the extent possible.

ApexGuard’s failure to enforce any provision shall not constitute a waiver.

You may not assign or transfer your rights or obligations under these Affiliate Terms without ApexGuard’s prior written consent. ApexGuard may assign these Affiliate Terms in connection with a reorganization, merger, sale, or transfer of business or assets.

These Affiliate Terms constitute the entire agreement between you and ApexGuard regarding the Program, unless a separate written agreement signed by ApexGuard expressly supersedes them.
